According to Article 139 of the amendment bill of a part of the Commercial Code approved in 1968, the information rights of shareholders have been explicitly accepted; However, there is no specific legal regulation regarding the extension of this right to some types of corporate stakeholders. Although from a theoretical point of view, some ethical principles governing the theory of stakeholders, such as the principle of transparency and social responsibility of companies, justify the access of some stakeholders to company information, however in practical terms, the conflict between the rights and interests of shareholders and beneficiaries in the form of obstacles such as the rule of the competitive spirit over the company makes access to the company's information difficult for the beneficiaries. Therefore, this article tries to describe and analyze, in a descriptive and analytical way, the concept of the beneficiary, the basics of the requirement for beneficiaries to access information, and the obstacles and challenges ahead in the implementation of this right. از مهمترین حقوق سهام‌داران که در قوانین تجاری و نظام‌های حقوقی بسیاری از کشورها از جمله ایران، مورد تصریح و تضمین قانونگذار قرار گرفته‌؛ حق کسب اطلاع ‌سهام‌داران از وضعیت شرکت است. براساس ماده (139) لایحه اصلاحی قسمتی از قانون تجارت مصوب سال 1347، حقوق اطلاعاتی سهام‌داران به صراحت مورد پذیرش قرار گرفته است؛ اما در خصوص گسترش این حق به برخی از انواع ذی‌نفعان شرکت‌ها، مقرره قانونی خاصی وجود ندارد. هرچند از جنبه نظری، برخی اصول اخلاقی حاکم بر نظریه ذی‌نفعان از قبیل اصل شفافیت و‌ مسئولیت اجتماعی شرکت‌ها، دسترسی برخی ذی‌نفعان به اطلاعات شرکت را موجه جلوه می‌دهند، اما از لحاظ عملی، تعارض میان حقوق و منافع سهام‌داران و ذی‌نفعان در قالب موانعی همچون حاکمیت روح رقابت بر شرکت، حق دسترسی ذی‌نفعان به اطلاعات شرکت را دشوار می‌کند. بنابراین مقاله حاضر سعی دارد به صورت توصیفی و تحلیلی، مفهوم ذی‌نفع، مبانی لزوم دسترسی ذی‌نفعان به اطلاعات و موانع و چالش‌های پیش رو در اجرای این حق را مورد بررسی و تحلیل قرار دهد. https://nashr.majles.ir/article_525_69421f032498c97020180038fddb8e24.pdf
